These terms ("Terms") govern your use of the AI connection feature (the "MProfit AI Connector" or "Connector") made available by MProfit Software Private Limited, having its registered office at 108-B Mittal Tower, Nariman Point, Mumbai-400021, India ("MProfit", "we", "us", "our"). By enabling, connecting or using the Connector, you ("you", "your", the "Client" or "User") agree to these Terms. If you do not agree, do not enable or use the Connector.
1.1 "MProfit Data" means the portfolio, transaction, holding, valuation, account and related information that you have entered into, imported into, or that is maintained within your MProfit account.
1.2 "Third-Party AI Service" means any artificial-intelligence product, assistant, model or service operated by a third party - including, without limitation, Anthropic (Claude), Google (Gemini) and OpenAI (ChatGPT) - that you elect to connect to your MProfit account through the Connector.
1.3 "AI Output" means any analysis, summary, report, commentary, recommendation, suggestion, projection or other content generated by a Third-Party AI Service using MProfit Data.
1.4 "MCP" means the Model Context Protocol or equivalent technical interface through which MProfit Data is made available, at your instruction, to a Third-Party AI Service.
2.1 MProfit is a technology and software platform that records, organises, computes and reports portfolio information. The Connector is a technical interface that, solely at your instruction and after your consent, transmits your MProfit Data to a Third-Party AI Service of your choice so that the Third-Party AI Service can process it and generate AI Output.
2.2 MProfit's role is limited to enabling the secure transmission of your own data at your request. MProfit does NOT generate, author, control, review, verify, endorse, validate or supervise any AI Output.
2.3 MProfit is NOT acting as, and does not hold itself out as, an investment adviser, research analyst, portfolio manager, stock-broker, mutual-fund distributor, or any other intermediary registered with the Securities and Exchange Board of India ("SEBI").
2.4 Relationship to the MProfit Terms of Use: Your use of the Connector forms part of, and is governed by, the MProfit Terms of Use (available at www.mprofit.in/terms-of-use), which is incorporated into these Terms by reference. These Terms supplement, and do not replace, the MProfit Terms of Use. In the event of any conflict or inconsistency between these Terms and the MProfit Terms of Use, the MProfit Terms of Use shall prevail, save to the extent expressly stated otherwise herein.
2.5 Eligibility by Subscription Plan. MProfit reserves the right, at its sole discretion, to determine which MProfit subscription plans or tiers include access to the Connector, and which do not. MProfit may add, remove, restrict or modify Connector availability for any subscription plan or tier at any time, with or without notice, and shall not be liable for any loss or inconvenience arising from a change in Connector availability under any plan or tier.
3.1 Nothing made available through the Connector - and no AI Output - constitutes, or should be construed as: (a) investment, financial, legal, tax or accounting advice; (b) a recommendation, opinion or solicitation to buy, sell, hold or subscribe to any security, fund, scheme or financial product; (c) an offer or invitation to enter into any transaction; or (d) any assurance or guarantee of returns, performance or outcomes.
3.2 MProfit does NOT advise on, recommend, or express any view on any investment, asset allocation, security or product. Any advisory, analytical or recommendatory content you receive is AI Output generated by the Third-Party AI Service, and is the responsibility of that service and of you, the User - NOT of MProfit.
3.3 No advisory, fiduciary, agency or client-adviser relationship of any kind is created between you and MProfit by reason of your use of the Connector.
3.4 You acknowledge that MProfit has no obligation to monitor or moderate AI Output, and that any such content originates from a system MProfit does not operate or control.
4.1 The Third-Party AI Service you connect is operated by an independent third party. Your use of it is governed by that provider's own terms of service, acceptable-use policy and privacy policy, which you should read and accept directly with that provider. MProfit is not a party to that relationship.
4.2 Once your MProfit Data is transmitted to a Third-Party AI Service at your instruction, that provider determines how it processes, stores, retains, secures or further uses that data in accordance with its own policies, and may act as an independent data fiduciary / data controller in respect of that data. MProfit does not and cannot control, and is not responsible for, the practices of any Third-Party AI Service, including whether or how it retains your data or uses it to train or improve its models. This may include storing or processing your MProfit Data on servers located outside India, in one or more jurisdictions determined by that Third-Party AI Service, each of which may have data-protection laws that differ from those of India.
4.3 MProfit does not endorse, certify or guarantee any Third-Party AI Service. The selection of which Third-Party AI Service to connect, and whether to connect at all, is entirely your decision.
5.1 MProfit Data is transmitted as recorded in your account. MProfit does not warrant that MProfit Data is accurate, complete, current or suitable for any analytical, advisory or decision-making purpose, and errors or omissions in the underlying data may affect AI Output.
5.2 AI Output may be inaccurate, incomplete, outdated, misleading, or wholly incorrect, and may include fabricated or "hallucinated" content, computational errors, or content that does not reflect Indian regulations, taxation or market conditions. AI Output is not verified by MProfit.
5.3 The Connector is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MProfit disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement and uninterrupted availability.
6.1 You are solely responsible for all investment, financial and other decisions you make, whether or not influenced by AI Output. You should independently verify all data and AI Output and consult a SEBI-registered investment adviser, a qualified chartered accountant, or other appropriately licensed professional before acting.
6.2 You confirm that you are legally competent to contract, that you are authorised to share the MProfit Data you connect (including, where the account covers family members or other persons, that you have their authority to do so), and that your use complies with all applicable laws.
6.3 You agree not to use the Connector for any unlawful purpose or in violation of these Terms or any applicable law, rule or regulation.
7.1 WHAT DATA IS SHARED: When you connect a Third-Party AI Service, you authorise MProfit to transmit your MProfit Data - which may include personal and financial information such as your holdings, transactions, valuations, account details and identifiers - to the Third-Party AI Service you have selected.
7.2 PURPOSE: The sole purpose of this transmission is to enable the Third-Party AI Service to process the MProfit Data and generate AI Output at your request.
7.3 RECIPIENT: The recipient is the specific Third-Party AI Service you choose to connect (for example, Anthropic - Claude / Google - Gemini / OpenAI - ChatGPT). Upon transmission, that recipient processes the data under its own policies as an independent data fiduciary / controller.
7.4 YOUR CONSENT: By proceeding, you give your free, specific, informed, unconditional and unambiguous consent, through a clear affirmative action, to the collection and transmission of your MProfit Data for the above purpose.
7.5 WITHDRAWAL OF CONSENT: You may withdraw this consent at any time by disconnecting the MProfit Connector from your Third-Party AI Service. On withdrawal, MProfit will cease transmitting MProfit Data to that service; however, MProfit cannot retrieve, delete or control data already transmitted to and held by the Third-Party AI Service - you must exercise any such rights directly with that provider.
7.6 Confidentiality. MProfit's handling of MProfit Data, including any obligations of confidentiality prior to transmission to a Third-Party AI Service, is governed by the MProfit Terms of Use and the MProfit Privacy Policy (available at www.mprofit.in/privacy), and no additional or different confidentiality obligation is created by these Terms.
8.1 To the maximum extent permitted by applicable law, MProfit, its directors, officers, employees and affiliates shall not be liable for any loss or damage - including any investment loss, loss of profit or capital, loss of data, or any indirect, incidental, special, consequential or punitive damages - arising out of or in connection with: (a) any AI Output or your reliance on it; (b) any act, omission, data practice, error or failure of any Third-Party AI Service; (c) any inaccuracy or incompleteness in MProfit Data or AI Output; or (d) your use of, or inability to use, the Connector.
8.2 Without limiting the foregoing, MProfit bears no liability for any investment decision you make or any consequence of acting (or not acting) on AI Output.
8.3 Without prejudice to Clauses 8.1 and 8.2, and solely to the extent that any such exclusion is found unenforceable by a court of competent jurisdiction, MProfit's liability shall in that event be limited in accordance with Clause 11 of the MProfit Terms of Use (available at www.mprofit.in/terms-of-use).
You agree to indemnify and hold harmless MProfit and its affiliates from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of the Connector, your breach of these Terms, your investment decisions, or your sharing of data you were not authorised to share.
MProfit may suspend, modify, restrict or discontinue the Connector, in whole or in part, at any time, with or without notice. MProfit may amend these Terms; the amended version will be effective on posting (or on such date as stated), and your continued use after that constitutes acceptance.
These Terms are governed by the laws of India. Subject to any applicable dispute-resolution mechanism, the courts at Mumbai shall have exclusive jurisdiction.
Any grievances relating to the Connector shall be addressed in accordance with Clause 22 (Grievances Redressal) of the MProfit Terms of Use (available at www.mprofit.in/terms-of-use).
